These Service Terms apply to every client of The Agera Agency (“Agera”, “we”, “us”), operated by Reece Beddome in Alberta, Canada. They are accepted when you sign your Master Service Agreement or check the terms box at checkout. Your signed agreement and its Schedule A set your package, price and term. If anything here conflicts with your signed agreement, the signed agreement wins.
Services
We provide the services described in your Schedule A. Anything not listed there is outside the scope and will be quoted separately, starting only once you approve it in writing. Email counts as writing. We decide how the services are performed, including tools, creative approach, campaign structure and scheduling, while keeping you informed.
Shoot days are booked at least 7 days in advance on a mutually agreed date. If you cancel or reschedule a shoot with less than 48 hours notice, that month’s shoot day may be forfeited.
Fees and payment
Fees are billed monthly in advance through Stripe automatic payments. The first payment is due on signing, and each later payment is charged on the same day of each month as your start date. By paying, you authorize us to charge your saved payment method on those dates.
If a payment fails, we will let you know and may retry the card or ask for a different payment method. If payment is not received within 7 days of the due date, work pauses (no new ads, no shoot day, no campaign changes) until it is paid. A pause does not extend the term or reduce fees owed.
We are not currently registered for GST, so no GST is charged. If we register, GST will be added from the registration date and we will give you at least 30 days written notice.
Advertising spend is paid by you directly to Meta (or any other platform) and is not part of our fees.
Cancellation
You may cancel before the end of your initial term by giving written notice at least 14 days before your next billing date. Email to reece@theageraagency.com counts.
If you cancel early, you pay a cancellation fee equal to 50% of the monthly fee for each full month left in the initial term after the current paid month. The current month is not refunded. For example, on a $1,200/month plan with two months left after the current month, the fee is $600 + $600 = $1,200.
We may end the agreement with written notice if a payment is more than 30 days late, or if you seriously breach the agreement and don’t fix it within 14 days of being told. In that case the cancellation fee still applies. When the agreement ends, we pause any campaigns we manage, hand back or remove our access to your accounts and deliver any finished ads you have paid for.
Your responsibilities, ad spend and ad accounts
You will fund your ad account at or above the minimum daily ad spend in your Schedule A for the whole term. If ad spend stops or drops below the minimum for more than 14 days, we can’t run the services properly and your monthly fee still applies.
You own your Meta Business Manager, ad account, Page and Instagram account, and you pay Meta directly. You will give us the access we need within 3 business days of signing.
Meta and other platforms can restrict, review or disable ad accounts for their own reasons. If that happens, we will help you appeal and fix the cause. We will not create new accounts to get around a restriction, because that can break platform rules and put your whole business account at risk. We are not responsible for platform decisions, and monthly fees continue while a restriction is being resolved.
We need timely approvals (within 3 business days), access to your location and team on shoot days, accurate information about your offers and pricing and a contact who answers leads quickly. You confirm that anything you give us (logos, photos, product claims, testimonials) is yours to use and is accurate, and you are responsible for the claims made about your products and services once you approve an ad.
Ownership of ads, footage and portfolio rights
Once you have paid all fees owed (including any cancellation fee), you own the finished ads we delivered to you (final edited videos, images and ad copy) and may keep using them after the agreement ends. Until then, you have a license to use them only while you are paid up.
We keep ownership of raw footage, unused clips, B-roll, edit project files and templates. Raw footage from a shoot day can be bought out at the price set in your agreement. Your logos, trademarks, products and materials remain yours. Our processes, frameworks, audience research methods and internal tools remain ours.
We may show the work and general results (for example cost per lead or return on ad spend) in our portfolio, social media and sales materials. You can opt out at any time by email, unless your agreement says otherwise, and we will stop new uses within 14 days. We will never publish your confidential numbers such as revenue or margins without your written approval.
Results, liability and confidentiality
Advertising results depend on things outside our control, including your offer, pricing, competition, how fast you answer leads and platform changes. Unless your agreement states a specific guarantee, we do not guarantee any number of leads, sales or return on ad spend.
Our total liability is limited to the fees you paid us in the 3 months before the claim. Neither party is liable for indirect losses such as lost profits or lost business.
Both parties will keep the other’s non-public business information private and use it only for the agreement. This doesn’t cover information that is already public or that the law requires to be shared.
General
We are an independent contractor, not your employee or partner. We may use trusted contractors (for example a videographer or editor) and remain responsible for their work. Changes to your agreement must be in writing and agreed by both parties. Email counts. Electronic signatures and checkout acceptance count as originals.
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there.
